1. GENERAL TERMS

1.1 Application

These Terms and Conditions ("Terms") apply to all services provided by Decision Intelligent, including but not limited to AI & Machine Learning Solutions, Custom Platform Development, Business Process Automation, Commercial Website Development, Digital Transformation Consulting, Startup Consulting & Mentorship, and Odoo Implementation Services.

1.2 Acceptance

By engaging our services, signing a quotation, or making any payment, the Client agrees to be bound by these Terms and Conditions.

1.3 Definitions

  • "Company" refers to Decision Intelligent
  • "Client" refers to the individual or entity engaging our services
  • "Services" refers to any and all services provided by Decision Intelligent
  • "Deliverables" refers to all work products, solutions, and materials provided under any agreement

2. PAYMENT INFORMATION

2.1 Banking Details

2.2 Payment Terms

  1. Payment Schedule: 50% advance payment required upon acceptance of quotation, remaining 50% due upon project completion or as per agreed milestones
  2. Payment Methods: Bank transfer to the above-mentioned account. All bank charges (local and international) are to be borne by the Client
  3. Payment Timeline: Invoice payments are due within 15 days of invoice date. Late payments will incur a service charge of 2% per month
  4. Currency: All payments to be made in UAE Dirhams (AED) unless otherwise specified in writing

2.3 Special Offer

Clients who make full advance payment are eligible for a global discount. Additionally, we offer exclusive discounts to new customers as part of our onboarding incentive.

3. PROJECT TERMS

3.1 Quotation and Validity

  • All quotations are valid for 30 days from the date of issue
  • Prices are subject to change after the validity period
  • Acceptance of quotation constitutes a binding agreement

3.2 Scope of Work

  • Services will be provided as outlined in the agreed quotation or statement of work
  • Any modifications to the agreed scope will be documented in writing and may result in additional charges
  • Change requests must be approved in writing by both parties

3.3 Project Commencement and Timeline

  • Work will commence upon receipt of signed quotation and advance payment
  • Project timelines are estimates and may vary based on client feedback cycles, requirement changes, and external dependencies
  • Delays caused by the Client may result in timeline adjustments and additional charges

3.4 Client Responsibilities

  • Provide necessary access, information, and resources required for project completion
  • Respond to queries and provide feedback within agreed timeframes
  • Ensure availability of key stakeholders for project meetings and reviews

4. INTELLECTUAL PROPERTY

4.1 Ownership

  • All custom developments and deliverables remain the property of Decision Intelligent until full payment is received
  • Upon full payment, Client receives ownership rights to custom-developed solutions as specified in the agreement
  • Decision Intelligent retains rights to proprietary methodologies, frameworks, and pre-existing intellectual property

4.2 License to Use

  • Client receives a non-exclusive license to use third-party software and tools as part of the delivered solution
  • Any third-party licenses are subject to the respective vendor's terms and conditions

5. CONFIDENTIALITY AND DATA PROTECTION

5.1 Confidentiality

  • Both parties agree to maintain strict confidentiality of all proprietary information shared during the engagement
  • Confidential information includes but is not limited to business strategies, technical specifications, and customer data
  • This obligation survives termination of the agreement

5.2 Data Security

  • Decision Intelligent implements industry-standard security measures to protect Client data
  • Client data will not be shared with third parties without explicit written consent
  • Data retention and deletion policies will be agreed upon based on project requirements

6. WARRANTIES AND SUPPORT

6.1 Warranty Period

  • We provide 30 days warranty on deliverables post-completion for bug fixes and minor adjustments
  • Warranty covers defects in workmanship but excludes issues arising from Client modifications or third-party integrations
  • Additional support beyond warranty period is available under separate maintenance agreements

6.2 Maintenance and Support

  • Ongoing maintenance and support services are available under separate agreements
  • Response times and service levels will be defined in specific support agreements
  • Emergency support may be available at premium rates

7. LIABILITY AND LIMITATIONS

7.1 Limitation of Liability

  • Decision Intelligent's total liability is limited to the total project value paid by the Client
  • We are not liable for any indirect, consequential, or punitive damages
  • Client acknowledges that technology solutions may have inherent risks and limitations

7.2 Force Majeure

  • Neither party shall be liable for delays or failures caused by circumstances beyond reasonable control
  • Force majeure events include but are not limited to natural disasters, government actions, and pandemics

8. TERMINATION

8.1 Termination Rights

  • Either party may terminate the agreement with 30 days written notice
  • Decision Intelligent may terminate immediately for non-payment or breach of terms
  • Upon termination, Client remains liable for all work completed and expenses incurred

8.2 Effect of Termination

  • All unpaid invoices become immediately due
  • Decision Intelligent will deliver completed work upon full payment
  • Confidentiality obligations survive termination

9. GOVERNING LAW AND JURISDICTION

9.1 Applicable Law

  • This agreement is governed by UAE law
  • Any disputes are subject to the exclusive jurisdiction of Dubai courts
  • Alternative dispute resolution methods may be pursued by mutual agreement

10. GENERAL PROVISIONS

10.1 Entire Agreement

  • These Terms, together with any signed quotations or statements of work, constitute the entire agreement
  • Modifications must be in writing and signed by both parties

10.2 Severability

  • If any provision is deemed invalid, the remainder of the Terms remain in full effect

10.3 Communication

  • All official communications must be in writing
  • Electronic communications are acceptable for day-to-day project management

ACCEPTANCE

By signing any quotation, making payment, or commencing work with Decision Intelligent, the Client acknowledges that they have read, understood, and agree to be bound by these Terms and Conditions.
